プライバシーポリシー

本規約は、株式会社PandaSynnovateX(パンダシノヴェイティックス)（以下「当社」といいます。）が提供する「Panda OEM」という名称のサービス（理由の如何を問わずサービスの名称または内容が変更された場合は、当該変更後のサービスを含み、以下「本サービス」といいます。）について、本サービスの利用者と当社との権利義務関係を定めるものです。

第1条　定義

本規約において使用する以下の用語は、各々以下に定める意味を有するものとします。

• (1) 「個人情報」とは、個人情報の保護に関する法律第2条第1項に定める「個人情報」を意味します。
• (2) 「サービス利用契約」とは、本規約に基づき当社とユーザーの間で締結される本規約の内容に従った本サービスの利用に関する契約を意味します。
• (3) 「知的財産権」とは、特許権、著作権その他の知的財産権（それらの権利を取得し、またはそれらの権利につき登録等を出願する権利を含みます。）を意味します。
• (4) 「反社会的勢力等」とは、暴力団、暴力団員、暴力団員でなくなった時から5年を経過しない者、暴力団準構成員、暴力団関係企業または団体、総会屋、社会運動等標ぼうゴロ、特殊知能暴力集団その他暴力、威力または詐欺的手法を使用して経済的利益を追求する集団または個人を意味します。
• (5) 「秘密情報」とは、第10条第1項に定める「秘密情報」を意味します。
• (6) 「ユーザー」とは、本サービスの利用者のうち、当社が当社所定の手続を経て本サービスの提供する機能のうち当社所定の機能の利用を許諾した者を意味します。
• (7) 「ユーザー使用端末」とは、第9条第3項に定める「ユーザー使用端末」を意味します。

第2条　サービスの利用

1. 本サービスの利用者は、本規約の内容に従って本サービスを無料で利用できるものとします。

2. 本サービスの利用者は、当社が本サービスを通じて提供する機能のうち当社所定の特定の機能を利用する場合、当社所定の方法に従い、当社所定の情報を当社に送信するものとします。本サービスの利用者が、本項の定めに基づいて一定の情報を当社に送信し、当社が当該利用者に対して当社所定の特定の機能の利用を当社所定の方法によって許諾した場合、当該利用者はユーザーとしての地位を取得し、当該ユーザーと当社との間でサービス利用契約が成立するものとします。

第3条　メールアドレス情報の管理

1. ユーザーは、自己の責任において、本サービスを利用する上で当社に対してメールアドレスその他の当社所定の情報を送信した場合、当該情報（以下「メールアドレス情報」といいます。）を適切に管理するものとします。

第4条　禁止行為

当社は、本サービスの利用者に対し、次に掲げる行為をいずれも禁止します。

• (1) 法令もしくは公序良俗に違反する行為または犯罪行為に関連する行為
• (2) 当社または第三者の知的財産権、プライバシーの権利その他の権利または利益を侵害する行為
• (3) 他のユーザーのメールアドレス情報を利用する行為その他の行為によって他のユーザーになりすます行為
• (4) 本サービスのシステム等に過度な負荷をかける行為その他の本サービスの運営を阻害するおそれのある行為

第5条　本サービスの停止等

当社は、本サービスの利用者に事前の通知をすることなく、本サービスの内容をアップデートできるものとします。

第6条　準拠法および管轄裁判所

本規約およびサービス利用契約の準拠法は日本法とします。本規約またはサービス利用契約に関連する一切の紛争については、東京地方裁判所を第一審の専属的合意管轄裁判所とします。

Privacy Policy

These Terms set forth the rights and obligations between PandaSynnovateX Co., Ltd. (the “Company”) and users of the service named “Panda OEM” provided by the Company (including the service after any change to its name or content, regardless of the reason; hereinafter, the “Service”).

Article 1. Definitions

The following terms used in these Terms have the meanings set forth below.

• (1) “Personal Information” means “personal information” as defined in Article 2, Paragraph 1 of the Act on the Protection of Personal Information of Japan.
• (2) “Service Agreement” means the agreement concerning use of the Service, entered into between the Company and a User under these Terms and in accordance with their provisions.
• (3) “Intellectual Property Rights” means patent rights, copyrights, and other intellectual property rights, including the rights to acquire such rights or apply for their registration.
• (4) “Anti-social Forces” means organized crime groups; their members; persons who have ceased to be members within the past five years; associate members; affiliated companies or organizations; corporate extortionists; racketeers purporting to advocate social causes; special intelligence crime groups; and any other group or individual that pursues economic gain through violence, force, or fraudulent means.
• (5) “Confidential Information” means the “Confidential Information” defined in Article 10, Paragraph 1.
• (6) “User” means a user of the Service whom the Company has authorized, through its prescribed procedures, to use certain functions of the Service designated by the Company.
• (7) “User Device” means the “User Device” defined in Article 9, Paragraph 3.

Article 2. Use of the Service

1. Users may use the Service free of charge in accordance with these Terms.

2. To use certain functions designated by the Company, users must submit the information specified by the Company in the manner prescribed by the Company. When a user submits such information and the Company authorizes that user to use the designated functions in the prescribed manner, the user obtains User status and a Service Agreement is formed between the User and the Company.

Article 3. Management of Email Address Information

1. If a User submits an email address or other information specified by the Company when using the Service (collectively, “Email Address Information”), the User is responsible for appropriately managing that information.

Article 4. Prohibited Conduct

The Company prohibits users of the Service from engaging in any of the following:

• (1) Acts that violate laws or regulations or public order and morals, or acts related to criminal activity.
• (2) Acts that infringe the Intellectual Property Rights, privacy rights, or any other rights or interests of the Company or a third party.
• (3) Acts of impersonating another User by using that User’s Email Address Information or by any other means.
• (4) Acts that place an excessive burden on the Service’s systems or otherwise risk interfering with operation of the Service.

Article 5. Suspension and Changes to the Service

The Company may update the Service without prior notice to users of the Service.

Article 6. Governing Law and Jurisdiction

These Terms and the Service Agreement are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction as the court of first instance over all disputes arising from or relating to these Terms or the Service Agreement.
